On October 13 we made the exciting announcement that Finance of America Companies plans to go public. In going public, we are entering a new era defined by a stronger financial profile and growth trajectory. We are taking this step because we believe it will help:

 

·Fuel product innovation and expansion of our products and services, accelerating our growth
·Create new opportunities, and provide greater resources, for us to continue to do amazing things
·Provide access to capital we can use to acquire businesses that support our long-term strategy

 

Since our October announcement, we have been hard at work on the transaction and with preparing our company to become public. To keep you informed of our progress and what to expect, I’d like to share the following update.

 

Q3 2020 earnings

 

·On December 1 we publicly announced our financial results for the very first time. For details around our Q3 2020 earnings, visit our website to read the press release and access a recording of the earnings call. Going forward we will announce our financial results on a quarterly basis.

 

Progress toward going public

 

·On November 5, Replay Acquisition Corp. filed a Form S-4 with the SEC, a key milestone for any company seeking to go public through a business combination. The S-4 is a publicly accessible document disclosing key details around a company and its financials.
·On October 13 we launched the new Finance of America Companies website.

 

 

 

 

What to expect

 

·Today (December 2) we held a virtual Analyst Day event for equity research analysts to learn about our company in greater detail. These analysts focus on companies like ours and prepare detailed analyses of our business and results that are used by investors in making their investment decisions. ·SEC and other regulatory approvals are required before the transaction can close, and the process takes time. We will notify everyone when we have received SEC and other regulatory approvals and the transaction closes. This is expected to occur in the first half of 2021.
